WARNECK LAW OFFICES, HINGHAM, MASSACHUSETTS
Founder and Principal, 2004-Present
  • Manage all aspects of a solo law practice that emphasizes estate planning and administration, small business advising and representation, and business succession and transition planning.  Additional areas of practice include real estate, domestic relations, and litigation. 
  • Attend numerous continuing legal education programs to stay current with evolving laws and methods of practice.  Topics include estate planning, elder and disability planning, asset protection, organizing and advising emerging businesses, intellectual property protection, and business succession planning.  Courses have been at Massachusetts Continuing Legal Education, the Boston Bar Association, and the Massachusetts Bar Association. 
  • Matters handled include the following:
    • Multiple estate planning engagements and preparation of associated documents.  Issues include guardianship decisions and asset management for minor children, estate tax planning, complex property disposition where there are children from multiple marriages, provision for non-citizen spouses, and long-term care planning. 
    • Multiple estate administration engagements, which generally include, among other things, appointment of fiduciaries, marshaling of estate assets, payment of debts and bequests, and preparation of inventories and accounts. 
    • Representing the principal and sole shareholder of a multi-generation stoneworking business in planning for and implementing the transition of corporate ownership and control and company management to his children in conjunction with his family’s overall estate planning.
    • Represented one half-owner of a well-established day care provider in negotiating and closing a buyout of the other half-owner. 
    • Representing an individual in starting up a media production company, which has included the client’s amicable departure from his employer, formation of a limited liability company, and preparation of a standard services agreement and other contract-related documents.
    • Representing a professor and author as the writer for a multi-media documentary project with a production budget of approximately $2 million.  Work has included forming a Subchapter S corporation and advising with respect to various contract-related issues.
    • Represented and advised several high-level executives, officers, and directors in resolving differences with their colleagues or navigating departures from their companies. 
    • Represented multiple family members of different generations in ascertaining ownership interests in, clearing title to, coordinating the ongoing management of, and preparing to sell a valuable multi-family building following termination of the trust that held title.
    • Represented homeowners in a land swap transaction with their neighbors, which required, among other things, complying with myriad requirements to secure the approval of multiple lenders, ensuring compliance with local zoning laws and approval requirements, and preparing agreements, deeds, and other conveyance-related documents.

FOLEY HOAG LLP, BOSTON, MASSACHUSETTS

Associate, Litigation Department, 1999-2004

  • Represented companies and individuals in a variety of complex business disputes and litigations, with a focus on securities and governance issues. 
  • Responsibilities included case management, drafting and arguing motions, taking and defending depositions, drafting discovery requests and responses, legal and factual investigation and analysis, correspondence with opposing counsel, preparing cases for trial, and assisting at trial.
  • Matters handled included the following:
    • Defended a Big Four accounting firm in fraud and professional malpractice actions commenced in Georgia state courts and claiming more than a billion dollars in damages.
    • Defended members of the board of directors of a software company in a Delaware Court of Chancery lawsuit claiming breaches of fiduciary duty in the context of a multimillion dollar bridge loan transaction.
    • Defended a former outside director of a technology company in a civil insider trading action brought by the SEC in federal court in Massachusetts.
    • Defended a realty trust against claims by a commercial tenant in Massachusetts state court alleging contract breaches arising out of a $20 million shopping center redevelopment.
    • Represented several individual clients in disputes with major securities brokerage houses concerning broker-dealer misconduct.
  • As a member of the firm’s pro bono Domestic Violence Prevention Project, represented domestic violence survivors in Massachusetts District courts and Probate and Family courts.  Matters included obtaining abuse prevention orders, defending against retaliatory orders, and child custody and visitation proceedings.  Also assisted in the training and supervision of other associates and paralegals in the program.

U.S. COURT OF APPEALS FOR THE FIRST CIRCUIT, BOSTON, MASSACHUSETTS

Law Clerk to the Honorable Bailey Aldrich, Senior Judge, 1998-1999
  • Assisted in drafting and editing of First Circuit opinions. Responsibilities included discussion and initial evaluation of appeals prior to oral argument, significant factual and legal research, drafting and/or editing of opinions Judge Aldrich authored, and evaluation of opinions by other panel judges.
  • Opinions addressed such topics as criminal and civil procedure, substantive criminal law, the Federal Sentencing Guidelines, habeas corpus, and estate tax, contract, and products liability law.

ENVIRONMENTAL LEAGUE OF MASSACHUSETTS, BOSTON, MASSACHUSETTS

  • Prepared a study of Massachusetts open space acquisitions and management policy under the direction of the Vice President for Legislative Affairs.
  • Worked with the President to assist a legislative committee in the oversight of a state environmental agency.
